The claim that housing 18 processing plants within a larger company boosts local production is a textbook example of a weaponized narrative. In the logic of capital, 'food security' is just a chip exchanged for regulatory permits; once the deal is done, the true optimal expression is always cost-cutting and profit maximization, not ensuring affordable, healthy food for citizens.
At its core, this is an existential war over 'exit mechanisms.' For the private equity firm CD&R, Morrisons is not an entity to be nurtured, but an asset to be liquidated at a premium. Their optimal expression is a swift exit. Sainsbury’s CEO Simon Roberts is sufficiently lucid to realize that spending a year bogged down in CMA regulatory sludge carries an opportunity cost far higher than any theoretical 'economies of scale' gained from the merger.
This is a failed complicity. CD&R attempted to manufacture a sense of urgency to find a buyer, while Sainsbury’s refused to be the sacrificial lamb in this chain of complicity. It is telling that while the media discusses market share, drive-times, and regulatory remedies, the actual workers in the factories and the consumers remain mere background noise. In the games played by these elites, actual quality of life always lags behind the potential of a financial statement—and this gap is the precise manifestation of structural violence.
