The banks realized the pace of digital payment iteration is too fast, and the capital expenditure required to stay competitive became a sunk cost. They chose to cash out at the valuation peak. This isn't a pursuit of efficiency; it's an escape from liability.

The most fascinating part is the mention of 'long-term referral agreements.' RBC and BMO shed ownership but maintained 'commercial relationships.' In the structural layer, they completed asset divestment and risk decoupling, yet in the interest layer, they maintain control over payment gateways through complicity. They no longer pay for technical obsolescence, but they still harvest dividends from the ecosystem.

This is the meta-violence of the capital world: the rule-makers always seek the optimal expression. For the banks, the optimal expression isn't making payments more just or efficient, but transferring the 'pressure of continuous investment' to a private equity firm while converting 'stable customer traffic' into ongoing commissions. This isn't modernization; it's outsourcing risk to the next bag-holder while celebrating a precise exit with C$2 billion in cash and surging stock prices.
